These Terms of Service ("Terms") govern your access to and use of Vidalio's shared family calendar platform, available through our website and, in the future, mobile apps (collectively, the "Platform"), provided by VidalioApp, Inc. ("Vidalio," "we," "us," or "our"). By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Platform.
Vidalio is currently in a pre-launch phase. Some functionality described in these Terms — including household accounts, member profiles, child profiles, and paid subscriptions — is part of our planned product and is not yet available. Today, the Platform's live functionality is limited to the waitlist signup on our homepage and the website itself. We will update these Terms as new functionality becomes available.
These Terms form a binding agreement between you and Vidalio. We may modify these Terms as described in Section XIV; your continued use of the Platform after a change takes effect means you accept the updated Terms.
Vidalio provides a shared family calendar built around a "household" as the sharing unit — members, a shared calendar, events, and access controls a household configures for itself. Some of this is still being built; see the pre-launch note above for what's live today.
AI-Assisted Features (reserved) — We may, in the future, offer optional features that use artificial intelligence or machine-learning models to help organize, summarize, or suggest calendar content ("AI Features"). We do not offer any AI Features today. If and when we do, they will be optional, their output may be incomplete or inaccurate, and you'll be responsible for reviewing anything an AI Feature suggests before relying on it — particularly for anything involving a child's schedule or safety information. This section reserves our right to introduce AI Features later; we'll add feature-specific terms at that time.
You agree not to: violate any law or these Terms; infringe anyone's intellectual property or privacy rights; add another person's — including a child's — information to the Platform without a lawful basis to do so; harass, threaten, or harm another user; upload malware or attempt to gain unauthorized access to the Platform or another user's account; scrape, reverse-engineer, or interfere with the Platform's normal operation; impersonate any person or entity; or use the Platform to monitor or share information about a household member in a way that violates applicable law or a custody or court order.
Vidalio is currently free to use during this pre-launch phase, and using it today creates no payment obligation. We plan to offer paid subscription plans in the future. When we do: pricing will be presented to you before you're charged; payment will be handled by a PCI-DSS-compliant third-party payment processor, and Vidalio will never store your full card number; and any free-trial, auto-renewal, and cancellation terms will be disclosed at the time paid plans launch, consistent with applicable law. This section will be replaced with complete payment terms before any paid plan becomes available.
The Platform may integrate with or link to third-party services — for example, an external calendar feed you subscribe to, a sign-in provider, cloud hosting, analytics, or, in the future, payment processing. We don't control these services and aren't responsible for their availability, content, or practices. Your use of a third-party service is governed by that service's own terms.
Vidalio and its licensors own all right, title, and interest in the Platform, including its software, design, trademarks, and logos — excluding Your Content. Other than the limited right to use the Platform granted by these Terms, nothing here transfers any of our intellectual property rights to you.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. We don't warrant that the Platform will be uninterrupted, error-free, or secure, and — as noted in Section III — we don't warrant the accuracy of anything an AI Feature produces. Nothing in this section limits any warranty that can't be excluded under applicable law.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIDALIO WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, ARISING FROM YOUR USE OF THE PLATFORM. VIDALIO'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE PLATFORM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID VIDALIO IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) $100. This limitation doesn't apply to liability that can't be limited under applicable law, including for our gross negligence, willful misconduct, or fraud.
You agree to indemnify and hold Vidalio harmless from any claim arising from your violation of these Terms, Your Content, or your violation of any law or another person's rights (including a child's or household member's rights) through your use of the Platform.
You may stop using the Platform and delete your account at any time. We may suspend or terminate your access if you violate these Terms, pose a risk to the Platform or other users, or as required by law. Sections that by their nature should survive termination — including Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Dispute Resolution — will survive.
We'll update the "Last Updated" date above, and for material changes, give notice via the website or email before the change takes effect — consistent with our Privacy Policy.
